Terms of Service.
This is the agreement between you and The Lucy AI Corporation ("Lucy") that governs your use of the Lucy software, AI agent, dashboard, and related services. By creating an account or using Lucy, you agree to these terms.
1 Acceptance of these terms
By creating a Lucy account, accessing the Lucy dashboard, or otherwise using the Service, you agree to these Terms of Service ("Terms") and to our Privacy Policy. If you do not agree, you must not use the Service.
If you are accepting these Terms on behalf of a company, agency, or other legal entity, you represent and warrant that you have the authority to bind that entity, and "you" and "your" refer to that entity.
2 Description of the Service
Lucy is an AI-powered software service that monitors Amazon Selling Partner accounts via the Amazon Selling Partner API ("SP-API") and, when authorized by you, automatically remediates unauthorized or unintended changes to product listings. This includes elements such as titles, descriptions, bullet points, images, and prices.
Lucy is engineered for high accuracy, combining machine learning models, validated heuristics, and rule-based automation to detect and respond to listing changes quickly and reliably.
The Service is provided "as is." While Lucy operates with a high degree of precision, no automated system is infallible, and Lucy does not provide a guarantee that every listing change will be detected, classified, or restored.
3 Your account
To use the Service, you must create an account. You agree to:
- Provide accurate, current, and complete information during signup
- Keep your account credentials confidential and not share them with anyone outside your organization
- Promptly notify Lucy of any unauthorized access to your account
- Be responsible for all activity that occurs under your account
You must be at least 18 years old (or the age of majority in your jurisdiction, if higher) to use the Service. The Service is intended for business use; it is not designed for personal or consumer purposes.
4 Customer responsibility & account standing
Lucy operates as your delegated agent on Amazon Seller Central. You acknowledge that you are solely and exclusively responsible for your Seller Central account, including its compliance with Amazon's policies, terms of service, and applicable law.
You retain final responsibility for all content published on your listings, regardless of whether it was published manually by you, by your team, by Lucy, or by any other authorized application. Authorizing Lucy to operate on your behalf does not transfer responsibility for those listings to Lucy.
In the rare event that an automated action by Lucy is flagged by Amazon, contributes to account-health metrics, or otherwise contributes to adverse action by Amazon, you assume all risk of such outcomes and agree that Lucy bears no responsibility for any consequence to your Amazon account, sales, search ranking, Buy Box eligibility, or business resulting from Lucy's operation.
5 AI disclaimer & no warranty
Lucy is built to be highly accurate and to operate reliably at scale. However, Lucy is an artificial-intelligence agent, and like any automated system it is not infallible. In rare circumstances Lucy may, for example, fail to detect a particular listing change, classify an intentional change as unauthorized, restore a listing to a state other than the one you intended, take an action at an unintended time, or interact with the SP-API in ways Amazon may flag.
To the maximum extent permitted by applicable law, the Service is provided "as is" and "as available," without warranties of any kind, whether express, implied, statutory, or otherwise. Lucy specifically disclaims all warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, reliability, availability, security, and quiet enjoyment. Lucy does not warrant that the Service will be uninterrupted, error-free, or capable of detecting or remediating any specific listing change.
6 Limitation of liability
To the maximum extent permitted by law, in no event will Lucy, its affiliates, officers, directors, employees, or agents be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to lost profits, lost revenue, lost sales, lost search ranking, lost Buy Box, account suspension, account termination, loss of goodwill, loss of data, or business interruption, arising out of or in connection with these Terms or your use of the Service, even if Lucy has been advised of the possibility of such damages.
Lucy's total aggregate liability arising out of or in connection with these Terms shall not exceed the amounts paid by you to Lucy for the Service in the twelve (12) months immediately preceding the event giving rise to the liability, or one hundred Canadian dollars (CAD $100), whichever is greater.
Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above exclusions and limitations may not apply to you. In those jurisdictions, Lucy's liability is limited to the smallest extent permitted by law.
7 Indemnification
You agree to defend, indemnify, and hold harmless Lucy and its affiliates, officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, debt, and expenses (including but not limited to attorney's fees) arising from:
- Your use of and access to the Service;
- Your violation of these Terms;
- Your violation of any third-party right, including without limitation Amazon's terms of service, any intellectual-property right, or privacy right;
- Any claim that your content, listings, or actions caused damage to a third party; or
- For Agency customers, any claim arising from your use of the Service in connection with a brand or Seller Central account that you did not have written authorization to manage.
8 Authorization warranty (Agency customers)
If you sign up as an Agency, you represent and warrant that, for each Amazon Seller Central account you connect to Lucy, you have obtained express written authorization from the brand owner or account owner to access, monitor, and modify listings on that account using the Service.
You agree that Lucy may, at its discretion, request documentation of such authorization at any time, and that failure to produce such documentation may result in immediate termination of the affected Service connections.
9 Data & privacy
Lucy accesses, processes, and stores data from your connected Amazon accounts solely to provide the Service. Specifically, Lucy will:
- Request OAuth refresh and access tokens through Amazon's Login with Amazon ("LWA") flow;
- Call SP-API endpoints related to Catalog Items, Listings Items, Reports, Notifications, and Product Pricing;
- Store snapshots of your listing content and a history of changes;
- Store metadata about actions Lucy has taken on your behalf;
- Use aggregated, anonymized usage data to improve the Service.
Lucy will not: access financial settlement data, customer personally identifiable information ("PII"), order-level customer details beyond what is necessary for inventory accuracy, or any data category outside the scopes you authorize during the SP-API connection.
Refresh tokens are encrypted at rest using industry-standard cryptography. You may revoke Lucy's access at any time via Seller Central → Apps & Services → Manage Your Apps. Upon revocation or account termination, Lucy will delete or anonymize personal data within thirty (30) days, except where retention is required by law.

10 Subscription, fees & termination
Use of the Service may require a paid subscription. Fees, billing intervals, and feature inclusions are described on Lucy's pricing page or in your applicable order form. Fees are non-refundable except as expressly stated by Lucy or as required by law.
Either party may terminate this agreement at any time by canceling the subscription within Lucy's dashboard or, for Lucy, by providing thirty (30) days' written notice. Lucy may terminate or suspend your account immediately, without prior notice, if you breach these Terms or use the Service in a way that creates risk for Lucy or other users.
Upon termination, Lucy will cease all automated actions on your connected accounts and you will lose access to the Service. Sections that by their nature should survive termination (including liability limitations, indemnification, governing law) will continue to apply.
11 Governing law & dispute resolution
These Terms shall be governed by and construed in accordance with the laws of the Province of Quebec, Canada, without regard to its conflict-of-law principles.
Any dispute arising out of or relating to these Terms that the parties cannot resolve informally within thirty (30) days shall be finally resolved by binding arbitration administered in Montréal, Quebec, in the English language, in accordance with the rules of the Canadian Arbitration Association. Each party waives any right to participate in a class action or class arbitration to the extent permitted by law.
Notwithstanding the above, either party may seek injunctive or equitable relief in a court of competent jurisdiction to protect its intellectual-property rights or confidential information.
12 Changes to these Terms
Lucy may modify these Terms from time to time. Material changes will be communicated by email to your account email address and posted in your dashboard at least thirty (30) days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the modified Terms.
Non-material changes (such as clarifications, formatting fixes, or contact-info updates) may take effect upon posting.
